1. Introduction

These Terms of Service ("Terms") govern your use of the services provided by DivestMe LLC ("DivestMe," "we," "our," or "us"), including the purchase of illiquid, non-public investment interests and related documentation (the "Services"). By using our Services, you agree to be bound by these Terms.

2. Eligibility

You must be at least 18 years old and legally able to enter into binding contracts to use our Services. By proceeding, you confirm that you have the legal right to sell the asset(s) you submit.

3. Nature of the Service

DivestMe facilitates the purchase of certain private investment assets for a nominal amount, providing documentation that may allow you to recognize a capital loss for tax purposes.

We do not provide legal, tax, or financial advice. Always consult your own professional advisors before proceeding.

4. Permanent Transfer of Ownership

By agreeing to sell an asset through DivestMe:

• You permanently transfer all rights, title, and interest in the asset to DivestMe LLC.
• The sale is final and cannot be reversed.
• You acknowledge and agree that DivestMe is not responsible for verifying the accuracy, completeness, or legality of the information you provide.
• The sale is only complete upon receipt of payment from you for the applicable processing fee.
• Once payment is received, you will receive a link via email to view and download your signed purchase agreement.

5. Your Responsibilities

You are solely responsible for:

• Ensuring you have the legal authority to sell the asset.
• Providing accurate and complete information about the asset.
• Complying with all applicable laws, including securities laws.

Any misrepresentation or failure to disclose relevant information may void the transaction and result in legal consequences.

6. Payment & Fees

A non-refundable processing and service fee is required to complete a sale. Pricing is displayed prior to payment. Payment must be received before ownership is transferred and documentation is delivered.

7. No Guarantee of Tax Outcome

DivestMe does not guarantee that the sale will result in a recognized tax loss, that it will be accepted by tax authorities, or that it will produce any financial benefit. You are responsible for consulting your own tax professional.

8. Limitation of Liability

To the fullest extent permitted by law, DivestMe shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue, arising from your use of the Services.

9. Indemnification

You agree to indemnify, defend, and hold harmless DivestMe LLC and its affiliates, officers, employees, and agents from any claims, liabilities, damages, and expenses (including legal fees) arising from your breach of these Terms or violation of applicable laws.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.

11. Changes to These Terms

We may update these Terms from time to time. Any changes will be posted on this page with a revised "Effective Date." Continued use of the Services after changes take effect constitutes your acceptance of the updated Terms.
